These terms govern all work performed by Craig Ruksznis ("Vendor", "I", "me") for you ("Client", "you") through hire.ruks.dev. By engaging my services, you agree to these terms.
Services
I provide Shopify development services including custom theme builds, performance optimization, checkout and cart customization, and custom Shopify app and Function development. All work is scoped and agreed upon before it begins.
Proposals & Agreements
Before work starts, I'll provide a written scope of work that includes a description of what's being built, a flat project price, and an estimated timeline. Work begins once you accept the proposal and pay the required retainer. The written scope is what we're both held to.
Payment
All pricing is flat-rate and agreed in advance. Payment terms are outlined in each project proposal, but typically follow this structure:
- Retainer: Due before work begins. The retainer is non-refundable — it compensates me for committing to your project and turning down other work.
- Final payment: Remaining balance due upon delivery, before handoff of production code.
Additional services outside the agreed scope can be quoted separately at a flat price or billed at $120 USD per hour. Invoices are payable within 7 days of issue. Late payments may result in paused work until the balance is cleared.
App Fees
All initial and ongoing third-party app fees are the Client's responsibility. I research and recommend quality options based on price and fit, but I do not cover any app fees or charges.
Intellectual Property
Upon completion of the project and receipt of final payment, you own all custom code, designs, and deliverables produced for your project. Until final payment is received, I retain ownership of all work product.
I reserve the right to showcase completed work and results — including work in progress and unused concepts — in my portfolio, case studies, and on social media, unless otherwise agreed upon in writing.
Exclusivity
During the dates specified in a project agreement, no other service providers are permitted to provide the same or similar services on the project, unless I've hired them as part of delivering the work. This ensures quality and avoids conflicting changes.
Confidentiality
I won't share your proprietary information, trade secrets, business data, analytics, or revenue figures with anyone — during or after the engagement. I have no rights to your proprietary information and will only use it to complete the project.
Legal Requirements
Any legal information needed for your project — including supplement fact labels, Terms of Use, Privacy Policies, Accessibility Statements, and similar documents — must be supplied by you. I am not responsible for providing, editing, or verifying the accuracy of legally required information. If you'd like me to modify or adjust legally required documents, that work is billed at $120/hr.
Accessibility
I am not an ADA compliance expert. You acknowledge that I am not responsible for ADA compliance and that you should consult an ADA expert for further guidance. I am not liable for any Accessibility Compliance issues on your website.
Artistic Judgment
You've reviewed my work and have a reasonable expectation of my style and approach. I'll use reasonable efforts to incorporate your suggestions, but I retain final say regarding aesthetic judgment and artistic quality of the deliverables. Every project is different, and design is subjective — I'll work with you, but the craft decisions are mine.
Liability
My total liability for any claim arising from a project is limited to 50% of the total cost of that project. I do not represent or guarantee that my services will create additional profits, sales, exposure, or brand recognition. Under no circumstances shall either party be liable for indirect damages such as loss of revenue, anticipated profit, or lost business.
Governing Law
This agreement is governed by the laws of the State of Maine.
Changes to These Terms
I may update these terms from time to time. The version posted on this site at the time of your engagement is the one that applies to your project.
